Welcome to UMT GROUP LLC ("UMT," "we," or "us") at https://eventpro.rent (including all content under the "eventpro.rent" domain name, referred to herein as the "Website"). We provide the Website and our photo booth and event photography services, including but not limited to 360 photo booths, mirror photo booths, cold spark machines, backdrops, mascots, and related offerings (collectively, the "Services"), subject to your agreement to and compliance with the terms and conditions set forth herein (the "Agreement"). Please carefully read this Agreement that governs your access to and use of the Website and Services and that applies to all users. If you do not agree and consent to this Agreement, please do not use the Website or Services.

Individual bookings for Services are governed by separate Photo Booth Contracts (as exemplified in agreements with clients), which incorporate this Agreement by reference and supersede any conflicting terms for that specific event. This Agreement represents the entire understanding between the parties for general use of the Website and Services, superseding all prior agreements or understandings, whether written or oral. Any modifications must be made in writing and signed by both parties.

1. Agreement to Terms

By accessing or using our Website or Services, you agree to these Terms of Service ("Agreement"). If you do not agree, you may not use our Services. This Agreement incorporates by reference our Privacy Policy (https://eventpro.rent/privacy_policy).

We reserve the right to update these Terms at any time by posting an updated version on our Website. Continued use of the Services after any changes constitutes your acceptance.

2. Services Offered

UMT GROUP LLC provides photo and video booth services for events, including:

• 360 photo booths
• Mirror photo booths
• Backdrops, cold spark machines, inflatable mascots

Services are available to clients (the booking party) and event guests who choose to engage.

3. User Eligibility

You must be 18 or older to use our Services. If you are under 18, you may only use the Services with parental consent. Some parts of the Website or Services may be restricted, and we may impose eligibility rules at our discretion. You are not eligible if using the Services would violate any applicable law.

4. Booking and Payments

All bookings are subject to availability and are confirmed upon receipt of a signed Photo Booth Contract and non-refundable deposit. The remaining balance is due 24 hours prior to the event if paying online, or on the day of the event if paying by cash or check. Full payment must be received before the booth start time; otherwise, instant sharing services and online gallery access will not be available during the event.

In the event that the client fails to make full payment for the services, all guests who provided their phone numbers or email addresses to receive media files will be sent a notification stating: "Unfortunately, the client has not paid for our services, so you cannot use the media files you received." Such notification will be sent via the contact method provided by the guests, and access to the media files will be restricted until payment is received.

We may use third-party payment processors (e.g., Stripe, Square, PayPal) to handle transactions, subject to their terms and privacy policies. You agree to pay all charges and authorize charges to your chosen payment method (your "Payment Method"). The processing of payments is subject to the terms, conditions, and privacy policies of the Payment Processor in addition to this Agreement. We are not responsible for errors by the Payment Processor.

For recurring services or subscriptions, we will automatically charge your Payment Method for the next period at the end of each subscription period. In addition to other remedies, we reserve the right to suspend or terminate access if your Payment Method fails, with delinquent accounts subject to interest of 1.5% per month on any outstanding balance, or the maximum permitted by law, plus all expenses of collection.

5. Guest Data and Consent

Guests may provide their phone number or email to receive event media. By doing so, they consent to receive one-time transactional messages (media delivery) and may optionally opt-in to promotional SMS/email campaigns. We comply with A2P 10DLC rules, including clear opt-in, STOP/HELP keywords, and data retention limits. See our Privacy Policy for details.

6. Delivery of Media

An online gallery containing all media will be provided within seven days after the event, accessible for six months. Clients are responsible for downloading and backing up their media. We are not accountable for the lifespan or any future changes in digital technology that may affect the media.

Media may also be delivered onsite via SMS, email, QR code scan, Airdrop, or WhatsApp. We are not responsible for failed deliveries due to incorrect information, device issues, or network failures.

7. Use Restrictions

You may not:

• Violate laws while using the Website or Services
• Post or transmit harmful, abusive, false, or infringing Content
• Impersonate any person or business
• Attempt unauthorized access or interfere with our systems
• Copy, modify, reverse engineer, or resell our Services or Content

Clients and guests may not misuse equipment, and Client is responsible for any damage or loss due to misuse by Client or guests. We may suspend or terminate access if these terms are violated.

8. Ownership and Content Use

All Content produced at events is owned by UMT GROUP LLC. By using the Services, Client and guests grant us the right and permission to use, reproduce, and distribute any captured media for promotional purposes, including advertising, marketing, and social media, without compensation. Client and guests release us from any claims arising from such use.

By submitting Content to us (e.g., testimonials, photos), you grant a non-exclusive, royalty-free license to use it for promotional purposes.

9. Third-Party Sites and Integrations

Our Website or Services may link to or integrate with third-party platforms (e.g., Touchpix, Sparkbooth for media capture; GoHighLevel for CRM; OneDrive for galleries). We are not responsible for their content, policies, or practices. Use of these sites or integrations is at your own risk.

10. Intellectual Property

All trademarks, logos, designs, and materials on our site and Services belong to UMT GROUP LLC or its licensors. All branding, templates, overlays, and content provided by UMT are the intellectual property of UMT GROUP LLC and may not be copied, reused, or resold without express written permission.

11. Disclaimer of Warranties

Our Services are provided "as is" and "as available." We do not guarantee:

• Continuous or error-free access
• That Services will meet your expectations
• That files delivered will be free of defects or delays

We are not liable for truncated or inaccessible media due to technical issues. We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose.

12. Limitation of Liability

To the fullest extent allowed by law, UMT GROUP LLC is not liable for:

• Indirect, incidental, or consequential damages
• Lost profits or business interruption
• Issues arising from third-party software or delivery platforms

If we fail to provide Services, Client's remedy is a full refund; no further liability. For partial services due to conditions beyond our control (e.g., weather), payments are prorated. Our total liability shall not exceed the amount paid by you for our Services in the 6 months preceding any claim.

Client assumes all legal fees for third-party claims related to loss or damage not caused by our fault.

13. Indemnification

You agree to indemnify, defend, and hold harmless UMT GROUP LLC from any claims, losses, liabilities, damages, or expenses (including legal fees) arising from:

• Your use of our Website or Services
• Your breach of these Terms
• Your violation of any law or third-party rights

Client indemnifies us against liability from the event date onward, including damage to equipment due to misuse, theft, fire, flood, or earthquake.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of New York. Any disputes will be resolved by binding arbitration in Brooklyn, NY, under the American Arbitration Association (AAA) rules, except for small claims or intellectual property infringement suits, which may be brought in state or federal courts in Kings County, New York. Arbitration will be conducted on an individual basis only, with no class actions. You waive any right to a jury trial.

Any dispute must be commenced within one (1) year after the occurrence of the events leading to the dispute.

15. Termination

We reserve the right to terminate your access to Services at our sole discretion. You may also cancel your booking or request to end communication at any time, subject to our cancellation policy.

16. DMCA and Copyright Claims

If you believe Content on our site or Services infringes your copyright, please notify us at info@lc.eventpro.rent with:

• Your contact info
• Description of the work
• URL/location of alleged infringement
• A good-faith belief statement
• Your signature (physical or electronic)

We may remove or restrict access to infringing Content and terminate repeat infringers.

Additional Terms from Photo Booth Contracts

• Cancellation/Rescheduling: Provide at least three days' notice to avoid full charge.
• Setup Requirements: 10ft x 10ft space, 8ft ceiling, 110V outlet within 50ft. For outdoors: dry paved surface, protected from weather. Right to cancel in unsafe conditions, no refund.
• Client Responsibility: Ensure safe environment; operations cease if unsafe, no refund. Liable for damage/loss.
• Provider Responsibility: Full refund if fail to provide; prorated for partial services beyond control.
• Entire Agreement: This Agreement (and any signed Photo Booth Contract) constitutes the entire understanding; modifications in writing.
• Execution: Signatories represent authority to bind parties.

This Agreement constitutes the entire understanding between you and us, superseding all prior agreements. If any provision is invalid, the remainder remains enforceable.
